Terms of Service

In availing the video lectures of UpskillNowPH, the Learner consents to the following terms and conditions in relation to the access and use of the UpskillNowPH platform, the products and services therein, and the associated computer software and programs used to run UpskillNowPH:

1.   The Learner acknowledges that UpskillNowPH’s products and services, including video lectures, are facilitated online. The Learner therefore is responsible in ensuring that he, she, or they/them has the proper hardware and software requirements, along with internet access, to be able to access and use UpskillNowPH products and services, including video lectures.

2.   The Learner acknowledges and agrees that in providing products and services, UpskillNowPH shall collect and store data and information in exchange for granting access and use of UpskillNowPH’s products and services, including video lectures.

3.   The Learner grants and permits access to collect and store technical data and information received by UpskillNowPH in the course of providing products and services, including video lectures. Technical data and information shall include, but is not limited to, Internet Protocol (‘IP’) address, hardware and software details, Pixel Tags, Metadata, and Cookies. 

4.   The Learner likewise grants and permits access to collect and store personal data and information received by UpskillNowPH in the course of providing products and services, including video lectures. Personal data and information shall include, but is not limited to full name, username, physical address, e-mail address, phone number, government issued identification card, and credit/debit card details.

5.   The Learner warrants the authenticity, accuracy, and veracity of both the personal and professional data and information he, she, or they/them provided to UpskillNowPH, and hereby affirms that the same are true and correct for all legal intents and purposes that such data and information may serve.

Consequently, if such data and/or information provided to UpskillNowPH are found to be inaccurate, misrepresented, false, or fraudulent,  UpskillNowPH shall not be responsible for any damage, liability, loss, or any other consequence that the Learner may incur as a result of these inaccuracies, misrepresentations, or falsities. In addition, the same shall not be a ground for any refund.

6.   The Learner permits UpskillNowPH to use all collected data and information to assist in the administering, monitoring, improving, enhancing, managing and regulating by UpskillNowPH of its offered products and services, including video lectures.

7.   UpskillNowPH commits to not disclose any of the collected data and information received from the Learner to any third party except if such disclosure is demanded by a governmental or regulatory body, mandated by subpoenas or court orders, or necessary for any other legal purpose. 

8.   The Learner acknowledges that UpskillNowPH has placed security measures for the protection of the products and services in its platform. Nonetheless, the Learner acknowledges that UpskillNowPH cannot fully ensure the reliability and security for its products and services in anticipation of any security and/or data breach of its system. In the event of a security and/or data breach, UpskillNowPH shall not be responsible and incur any liability for any unauthorized access or use by any third party of the breached data and information of the Learner.

9.   The Learner acknowledges that downtime, unanticipated or anticipated, may be expected in the access and use of UpskillNowPH’s offered products and services, including video lectures, and may be due to any of the following reasons:

  • Unanticipated power outages, system failures, malfunctions or other interruptions outside the control of UpskillNowPH;
  • Conduct of maintenance, scheduled or otherwise;
  • Security breach, data breach, or any other breach that may, upon UpskillNowPH’s own determination, create risk if continued access and use the platform is allowed;
  • For legal or regulatory reasons; and
  • In case that the products and services, including video lectures, be thereafter be prohibited by law.

The Learner hereby acknowledges and agrees that UpskillNowPH shall not be liable for any damage, liability, loss, or any other consequence that the Learner may incur arising from abovementioned downtime causes and such is not a valid reason to demand for a refund. In any case, UpskillNowPH aims to keep such downtime period to a minimum.

10.   The Learner acknowledges that UpskillNowPH and/or its roster of Lecturers are the owner of all materials, trademarks, and other intellectual properties made available to the Learner through his, her, or their access and use of UpskillNowPH’s offered products and services, including video lectures. As such, the Learner agrees that posting, modifying, copying, reproducing, republishing, selling, sub licensing, uploading, broadcasting, making available, disseminating, or distributing, in whatever form or manner, directly or indirectly, to any third party is strictly prohibited.

Consequently, in the event that the Learner commits any of the abovementioned prohibited acts, the Learner consents to the following:

– UpskillNowPH shall automatically suspend and revoke the Learner’s access and use of UpskillNowPH’s platform and its offered products and services, including video lectures; 

– UpskillNowPH shall ban the Learner from future access and use of the UpskillNowPH’s platform and its offered products and services, including video lectures; and

– The Learner shall not be entitled to any refund for all payments made; 

This is without prejudice to UpskillNowPH’s right to exhaust all legal remedies available to it, including but not limited to pursuing civil, administrative or criminal actions, in order to protect its rights.

11.   UpskillNowPH reserves the right, at its sole discretion, to modify or replace any part of these Terms of Service. A Learner’s continued access and use of UpskillNowPH’s platform and its offered products and services, including video lectures, after changes to the Terms of Service have been made, shall constitute as implied consent and acceptance.

Legal Notice

QT SOLUTIONS CORPORATION (“QT Solutions”), a corporation duly organized and existing under and by virtue of the laws of the Philippines, and the entity operation UpskillNowPH, has exerted all efforts to ensure that all information found in the UpskillNowPH platform are reliable. However, the accuracy of any information is not warranted or guaranteed.

QT Solutions reserves the right to make the necessary changes, without prior notice, to any and all information relayed in the video lectures uploaded in the UpskillNowPH platform and QT Solutions is not responsible for such error or omission.

The posting, modifying, copying, reproducing, republishing, selling, sub licensing, uploading, broadcasting, making available, disseminating, or distributing, in whatever form or manner, directly or indirectly, to any third party of any and all video lectures uploaded in the UpskillNowPH platform is strictly prohibited.

The individual lecturers in UpskillNowPH is hereby understood to be the exclusive intellectual property owner of the video lectures it produced, as well as the exclusive intellectual property owner of the contents of said video lectures. In case any of the video lectures contain materials in which third parties have proprietary rights, including logos or brand names that are the trademarks of third parties, QT Solutions disclaims any liability with regard to infringement of such third parties’ rights.
